Acceptance of Terms

By accessing or using our Services, you affirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are acting on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree with any part of these Terms, you must immediately discontinue your use of our Services. Your continued use constitutes affirmative acceptance of any updates to these Terms.

Scope of Agreement — Subsidiary Brands

These Terms apply to all services, platforms, and websites operated by MAG FORGE HOLDINGS LLC and its subsidiary brands, including but not limited to:

• Magdag — Premium Digital Agency (magdag.es)
• Wotrix Networks — High-Speed Hosting Infrastructure (wotrix.com)
• SilexBrain — Multi-AI Platform (silexbrain.io)
• Pubnode — SaaS Marketing Automation (pubnode.io)
• QRLux — Hospitality Software (qrlux.io)
• Reparaciones Informáticas — Enterprise IT Support (reparacionesinformaticas.com)

Each brand may have supplementary terms applicable to their specific services. In the event of a conflict, brand-specific terms shall take precedence over these general Terms, except where prohibited by applicable law.

Description of Services

MAG FORGE HOLDINGS LLC provides a range of technology services including, without limitation: digital agency services, web hosting infrastructure, artificial intelligence platforms, SaaS marketing automation, hospitality software, and enterprise IT support. The specific features and functionalities of each service are described on the respective brand websites and may be updated from time to time at our sole discretion.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice, without liability to you or any third party.

Intellectual Property

All content, software, technology, trademarks, trade names, logos, designs, and intellectual property on our Services — including those associated with Magdag, Wotrix Networks, SilexBrain, Pubnode, QRLux, and Reparaciones Informáticas — are the exclusive property of MAG FORGE HOLDINGS LLC or our licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purpose. This license does not include the right to:

• Modify, copy, or create derivative works of our content or software
• Reverse-engineer, decompile, or disassemble any software component
• Use any data mining, scraping, or automated data collection methods
• Remove, alter, or obscure any proprietary notices or labels
• Resell, sublicense, or commercially exploit any content or service without express written permission

Third-Party Libraries & Open-Source Components

Development projects and digital products delivered by MAG FORGE HOLDINGS LLC and its subsidiary brands — including MAGDAG Digital Agency — may incorporate third-party software libraries, open-source frameworks, fonts, icon sets, and other components. These components are not the property of MAG FORGE HOLDINGS LLC; they are used in accordance with their respective open-source or commercial licenses (such as MIT, Apache 2.0, GPL, SIL OFL, or proprietary licenses as applicable) and remain the exclusive intellectual property of their respective authors and rights holders.

Ownership of client deliverables covers the custom code, design, and content created specifically for the client. It does not transfer ownership of, or any rights beyond those granted by the original license to, any incorporated third-party component. Clients are responsible for ensuring their continued use of such components complies with the applicable license terms. Upon request, MAG FORGE will provide a list of third-party dependencies included in any delivered project.

User Conduct & Acceptable Use

You agree not to use our Services in any manner that:

• Violates any applicable local, state, national, or international law or regulation
• Is fraudulent, deceptive, misleading, or harmful to MAG FORGE HOLDINGS LLC, its brands, or third parties
• Transmits spam, unsolicited communications, or malicious code
• Interferes with or disrupts the integrity, security, or performance of our Services or infrastructure
• Attempts unauthorized access to any system, network, or account
• Infringes upon the intellectual property rights or privacy rights of any person or entity
• Engages in any activity that could impose an unreasonable load on our servers or network infrastructure

We reserve the right to investigate and take appropriate legal or operational action against anyone who, in our sole discretion, violates this provision.

Payment Terms & Billing Cycles

MAG FORGE HOLDINGS LLC and its subsidiary brands offer a combination of subscription-based recurring services and one-time project engagements. By purchasing any service, you agree to the following payment conditions:

• Billing Currency: All transactions are processed in US Dollars (USD) or Euros (EUR) as indicated at checkout. Currency conversion fees, if any, are the responsibility of the customer.
• Subscription Billing: Recurring subscriptions (SaaS platforms, hosting plans, managed IT contracts) are billed in advance at the start of each billing cycle (monthly or annual, as selected). Subscriptions auto-renew unless cancelled before the renewal date.
• One-time Services: Project-based services (web design, application development, IT support, domain registration, SSL issuance) are invoiced upon service agreement confirmation. Payment is due prior to project commencement unless otherwise agreed in writing.
• Failed Payments: In the event of a failed payment, access to subscription services may be suspended until the outstanding balance is settled. We will attempt to notify you by email before suspension.
• Taxes & VAT: Prices may be subject to applicable taxes, including Value Added Tax (VAT) for customers in the European Union or applicable sales tax in the United States, based on your billing address. Tax amounts will be displayed at checkout where applicable.
• Payment Processors: Payments are securely processed by our authorized payment partners. See Section 08 for full details on our authorized billing structure.
• Uptime & Availability: We strive for maximum service availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible.
• Data Ownership: You retain full ownership of your data. We will not sell or license your data to third parties without your express consent.
• Fair Use: Services must be used within the parameters of your subscription plan. Abuse of resources may result in throttling or suspension.

Refund & Cancellation Policy

MAG FORGE HOLDINGS LLC is committed to delivering high-quality digital services. Due to the nature of digital and subscription-based products, our refund policy is structured by service type as follows:

• Subscription fees are non-refundable for the current active billing cycle once it has commenced.
• You may cancel your subscription at any time through your account settings or by contacting us at info@magforgecorp.com. Cancellation takes effect at the end of the current billing period. You will retain full access until that date.
• Annual subscriptions cancelled within 14 calendar days of initial purchase (EU customers, per Directive 2011/83/EU) or within 7 days (customers outside the EU), and before any significant platform usage, may be eligible for a pro-rated refund, subject to review by our billing team. Requests must be submitted in writing to info@magforgecorp.com within the applicable window.
• When your transaction is processed by Lemon Squeezy LLC acting as Merchant of Record, Lemon Squeezy's own refund policy (currently 30 days from purchase) applies and may supersede the terms above. Refer to lemonsqueezy.com/terms for current details.

• Hosting, VPS, and dedicated server fees are non-refundable once the service has been provisioned and activated, due to the resource allocation costs incurred.
• Monthly plans may be cancelled before the next billing date to stop future charges. Annual plans are non-refundable for unused months beyond the 7-day initial period.
• Managed service add-ons follow the same policy as the base hosting plan.

• Domain registrations and SSL/TLS certificate issuances are strictly non-refundable once processed, as these involve immediate costs paid to third-party registrars and Certificate Authorities on your behalf.
• Domain transfers follow applicable ICANN and registrar policies.

• Project-based services (web design, application development, branding, SEO) are milestone-driven. Work already delivered and approved by the client is non-refundable.
• If a project is cancelled by the client prior to delivery, fees for work completed up to the cancellation date are due and non-refundable. Any advance payments exceeding the value of work completed may be refunded at our discretion.
• Retainer agreements may be cancelled with 30 days' written notice. Fees for the active notice period are non-refundable.

• MAG FORGE HOLDINGS LLC processes digital platform subscription fees only for REINF. Charges cover platform access (technician subscriptions and business access plans) — not physical repair services or hardware costs.
• Platform subscription fees are non-refundable for the current active billing cycle once it has commenced. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Annual platform subscriptions cancelled within 14 calendar days of initial purchase (EU customers) or within 7 days (customers outside the EU), and before any significant platform usage, may be eligible for a pro-rated refund, subject to review by our billing team. Requests must be submitted in writing to info@magforgecorp.com within the applicable window.
• Physical IT services, hardware costs, and on-site work performed by independent technicians are not billed by MAG FORGE. Refund requests for technician services must be addressed directly with the assigned technician. See Section 09 for the full REINF marketplace model.

EU Right of Withdrawal

Consumers in the European Union have the right to withdraw from a distance purchase of digital services within 14 calendar days of the transaction date, without providing a reason, pursuant to Directive 2011/83/EU. However, by expressly requesting immediate access to the digital service or platform at the time of purchase, you acknowledge that you waive your right of withdrawal once the service has been made available to you. If you wish to exercise your right of withdrawal before the service has been activated, please contact us immediately at info@magforgecorp.com with the subject line "Right of Withdrawal — [your order reference]". We will process your request within 3 business days and issue a full refund to your original payment method.

Dispute & Chargeback Process

Before initiating any chargeback or payment dispute with your bank or card provider, we strongly encourage you to contact us directly at info@magforgecorp.com with the subject line "Billing Dispute — [your order or account reference]". We commit to responding within 3 business days and resolving legitimate billing issues promptly. Unwarranted chargebacks may result in account suspension and recovery of associated fees.

For EU consumers, you may also have the right to submit a complaint to your local consumer protection authority or via the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Payment Processing — MAG FORGE as Authorized Billing Entity

MAG FORGE HOLDINGS LLC is the sole authorized legal entity for collecting payments on behalf of all brands within its portfolio ecosystem, including MAGDAG Digital Agency, Wotrix Networks, SilexBrain, Pubnode, QRLux, and Reparaciones Informáticas (Reinf). Charges from any of these brands will appear on your bank or card statement as "MAG FORGE HOLDINGS LLC" or "MAG FORGE".

Payments are processed through the following authorized payment service providers:

• Mercury Financial LLC (Mercury Bank) — Primary banking and wire transfer provider for corporate clients in the United States and international accounts not subject to regional tax settlement obligations or jurisdiction-specific consumer protection regulations such as those applicable in the European Economic Area or other regulated markets.
• Stripe, Inc. — For customers in the United States and globally. Stripe's services are subject to the Stripe Services Agreement.
• Stripe Payments Europe, Ltd. — For customers in the European Economic Area (EEA). Regulated by the Central Bank of Ireland.
• Lemon Squeezy LLC — Acting as Merchant of Record for eligible digital products and SaaS subscriptions. When Lemon Squeezy processes your transaction, they assume legal responsibility for the sale, including tax compliance and consumer protection obligations in your jurisdiction. Their terms apply: lemonsqueezy.com/terms.

All payment data is transmitted over encrypted TLS connections. MAG FORGE HOLDINGS LLC does not store full credit card numbers or sensitive financial data on its servers. Payment processing and data security are handled exclusively by our authorized payment processors in compliance with PCI DSS standards.

REINF — IT Talent Marketplace: Platform Scope & Independent Technician Disclaimer

REINF (reparacionesinformaticas.com), operated by MAG FORGE HOLDINGS LLC, is a digital marketplace platform that connects businesses and individuals with vetted, certified independent IT professionals. REINF operates under an intermediary model — analogous to platforms such as Airbnb, Uber, Upwork, or Fiverr — where the platform facilitates the match between service provider and client but is not itself the executor of physical or on-site services.

All charges processed by MAG FORGE HOLDINGS LLC through its authorized payment processors for the REINF platform are exclusively digital subscription products:

• Technician Platform Subscriptions: Monthly or annual fees paid by IT professionals for access to the REINF marketplace, client matching tools, profile listing, lead management, and platform management features.
• Business Access Plans: Subscription fees paid by companies for priority technician matching, advanced filtering, and dedicated account management features within the platform.
• Platform Coordination Fees: Digital facilitation fees for booking coordination or platform-managed communication between technician and client, where applicable.

The following are not charged by MAG FORGE HOLDINGS LLC and fall entirely outside the scope of our payment processors:

• On-site repair services, diagnostic visits, and physical labor performed by independent technicians
• Hardware components, replacement parts, or materials acquired for a repair
• Service fees agreed upon directly between the client and the assigned technician
• Third-party software licenses or tools purchased independently by the technician

Physical services and their associated costs are subject to a separate commercial agreement negotiated directly between the client and the independent technician through the REINF platform interface. MAG FORGE HOLDINGS LLC is not a party to that agreement and assumes no liability for the outcome, quality, or completion of physical repair work.

MAG FORGE HOLDINGS LLC acts solely as the platform operator and technology intermediary. While we verify and vet technicians listed on the REINF platform, we do not control, direct, or supervise the physical execution of services. Disputes regarding the quality, timing, or outcome of physical work must be resolved directly between the client and the technician. MAG FORGE may provide mediation assistance at its discretion but bears no financial liability for physical services rendered by independent technicians.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

MAG FORGE HOLDINGS LLC does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components, or that any defects will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAG FORGE HOLDINGS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM:

• Your use of, or inability to use, our Services
• Any unauthorized access to or alteration of your data or transmissions
• Any third-party conduct or content on our platforms
• Any bugs, viruses, or harmful components transmitted through our Services

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability is limited to the maximum extent permitted by law. Our total aggregate liability shall not exceed the amounts paid by you to MAG FORGE HOLDINGS LLC in the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless MAG FORGE HOLDINGS LLC and its subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, and partners from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Termination of Service

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination:

• Your right to access and use the Services will immediately cease
• Any provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability
• You may request an export of your data within 30 days of termination, where technically feasible

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached within 30 days, the dispute shall be submitted to binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

If you are a consumer located in the European Union, you may also have the right to submit a complaint to your local data protection authority or consumer protection agency.

Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. It is your responsibility to review these Terms periodically. Your continued use of our Services after any changes constitutes your acceptance of the new Terms.

Promotions, Discounts & Trials

MAG FORGE HOLDINGS LLC and its subsidiary brands may, from time to time, offer promotional pricing, discount codes, free trials, or limited-time offers. When applicable, the specific terms and conditions of any promotion (including eligibility, duration, applicable services, and any restrictions) will be clearly communicated at the point of sale or in the promotional material itself. Promotional pricing does not affect the standard refund and cancellation terms set out in Section 07 unless expressly stated otherwise. Abuse of promotional offers, including the use of multiple accounts to circumvent one-time trial limitations, may result in account suspension.

We currently do not operate a general loyalty, referral, or points-based rewards programme. Any future such programmes will be governed by their own terms, published at the time of launch.

Export Controls & Sanctions Compliance

Our Services are subject to the export control laws and regulations of the United States, the European Union, and other applicable jurisdictions. By accessing or using our Services, you represent and warrant that:

• You are not located in, and are not a national or resident of, any country that is subject to a comprehensive embargo or sanctions programme administered by the U.S. Office of Foreign Assets Control (OFAC), the EU, the United Nations Security Council, or HM Treasury, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine.
• You are not identified on, and are not acting on behalf of any person or entity identified on, the OFAC Specially Designated Nationals (SDN) list, the EU Consolidated Financial Sanctions List, or any comparable list maintained by a competent authority.
• You will not use, export, re-export, transfer, or make available any of our Services for any purpose prohibited under applicable export control or sanctions laws, including but not limited to the development, design, manufacture, or production of nuclear, chemical, or biological weapons.

MAG FORGE HOLDINGS LLC reserves the right to terminate access to its Services immediately and without notice if it determines, at its sole discretion, that a customer or user is in violation of this Section. Our AI-powered products (including SilexBrain) may be subject to additional export licensing requirements under the U.S. Export Administration Regulations (EAR). Customers are solely responsible for ensuring compliance with applicable export laws in their jurisdiction.
